Terms of Service
Version 1.0 · effective 25 October 2026
These Terms of Service (the "Terms") govern access to and use of Margin Flow, an online service for restaurants and cafés: invoices and purchasing, supplier prices, dish costing, sales and reports, inventory analysis and recommendations. Margin Flow is available in the web account at app.marginflow.biz and in the invoice intake Telegram bot @Invoiceinput_bot (together, the "Service").
The Service is provided by DAILYCARE LTD, a private limited company registered in Cyprus under number HE 457941, VAT number 60076698V, registered office at Archiepiskopou Makariou III 232, Apollo Court, 6th floor, Office 602, 3030 Limassol, Cyprus ("Margin Flow", "we", "us"). Margin Flow is part of the MyHoReCa product line.
The Service is offered only to businesses, not to consumers.
1. Parties and acceptance
1.1. Customer. The "Customer" is the business (a restaurant, café, chain or other company) for which we open a company account in the Service.
1.2. Order. Access is granted by agreement with the Customer, on the basis of an offer, proposal or contract (the "Order"). The Order sets out the scope of the Service, the venues covered, the fees and the payment terms.
1.3. Master account. We create a "master account" for the Customer's owner or another person the Customer names. The master account manages the Customer's company account and its users.
1.4. Accepting these Terms. Each person who logs in for the first time must tick a box to accept these Terms. By ticking it:
- (a) the owner or the master account holder accepts these Terms on behalf of the Customer and confirms that they are authorised to bind it. This acceptance also signs the Data Processing Agreement (the "DPA") on behalf of the Customer. The DPA forms part of these Terms. No separate signature is needed;
- (b) every other user agrees to these Terms as a user acting for the Customer;
- (c) every user confirms that they provide data to the Service voluntarily, in order to receive the Service.
We record the time, the version accepted, the IP address and the browser user agent as evidence of acceptance.
1.5. Users. The Customer's owners, managers and employees who get a login ("Users") act on behalf of the Customer. Their personal data is processed as explained in our Privacy Policy.
1.6. Order of precedence. The Order prevails over these Terms on scope, fees and payment. The DPA prevails over these Terms and the Order on the processing of personal data. If a translation and the English version differ, the English version prevails.
2. Accounts and access
2.1. The Customer must keep its company and contact details accurate.
2.2. The master account decides which Users to create, which venues and data each User can see and what each User can do. The Customer is responsible for the Users created under its master account and for all activity in its account, unless the activity results from our own breach of these Terms.
2.3. Each User must have their own login and keep their password confidential. The Customer must remove access promptly for people who no longer work for it, and tell us without undue delay at support@marginflow.biz if it suspects unauthorised access.
3. Connecting the Customer's systems
3.1. POS and back-office. At the Customer's request, the Service loads data from the Customer's POS or back-office system (for example Syrve or Tillo), using access keys the Customer provides. We do this on the Customer's behalf. The Customer confirms that it is entitled to give us this access.
3.2. Read-only. Access to the POS is read-only. Margin Flow changes nothing in the POS or back-office, except when a User explicitly sends a document to the POS or back-office, for example an invoice for posting. The User must check that document before sending it.
3.3. Labour cost. If the Customer connects IzyShift, the Service receives aggregated labour cost only, without personal details of staff.
4. What the figures mean
4.1. Estimates, not decisions. Costing, margins, reports, inventory analysis and recommendations are estimates. They support the Customer's decisions but are not decisions, and they are not accounting, tax, legal or financial advice.
4.2. Data quality. Results depend on the quality and completeness of the data in the Customer's POS and of the data its Users enter or upload. Wrong recipes, missing invoices or incorrect stock counts lead to wrong results.
4.3. Invoice recognition can be wrong. Invoices are read automatically from photos, PDF and Excel files, and recognition may make mistakes in quantities, prices, units or product matching. Users must check recognised invoices before posting them or relying on them. The Customer remains responsible for its purchases, accounting records and business decisions.
5. Fees and payment
Fees and payment terms are set out in the Order. The Service has no online payment, no published plans and no automatic renewal. Fees change only as provided in the Order or as otherwise agreed in writing.
6. Acceptable use
The Customer and its Users must not:
- use the Service in breach of law;
- upload special categories of personal data (Article 9 GDPR), such as health data, or data about criminal convictions;
- upload data, documents or access keys they have no right to share, or more personal information than a document requires;
- access or try to access other customers' data, or test the Service's security without our written permission;
- interfere with the Service, overload it or bypass its limits;
- reverse-engineer or copy the Service, except where the law expressly permits;
- upload malware or unlawful content;
- resell the Service or provide it to third parties without our written consent.
We may suspend the activity in question if it poses a security risk, breaches this section or is required by law. We will tell the Customer promptly unless the law prevents it.
7. Customer Data
7.1. Ownership. The Customer owns the data that it and its Users put into the Service, the data loaded from its systems, and the results generated from them for the Customer ("Customer Data"). Examples include invoices, suppliers, prices, purchases, stock, inventory counts, sales, recipes and costing.
7.2. Our commitment. We do not sell your data or pass it to third parties except the sub-processors listed on the Sub-processors page. We use it only to provide the Service and to improve our products in aggregated or de-identified form, for example invoice recognition quality, errors and speed. We do not use it for advertising, and we do not use one Customer's data to serve another Customer.
7.3. Supplier directory. We maintain a directory of suppliers in Cyprus with publicly available information, such as supplier names and business contact details, and may show it to all customers. The Customer's prices, volumes, terms and invoices are never shown to other customers.
7.4. Feedback. If the Customer gives us suggestions, we may use them without obligation.
8. Intellectual property
We and our licensors own the Service, its software, design and documentation. During the term of the Order, we grant the Customer and its Users a non-exclusive, non-transferable right to use the Service for the Customer's internal business purposes, in line with these Terms.
9. Demo
The demo at demo.marginflow.biz contains fictitious data only and is view-only. It is not an offer or a promise of results.
10. Availability and support
10.1. We provide the Service with reasonable skill and care and make reasonable efforts to keep it available. Otherwise the Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free operation. There is no service-level agreement unless the Order includes one.
10.2. Third-party systems, such as the Customer's POS and Telegram, are outside our control.
10.3. Support is available at support@marginflow.biz on Cyprus business days.
11. Export, termination and deletion
11.1. Export. During the term, the Customer can use the exports built into the Service. On request, we will also provide an export of Customer Data in a common machine-readable format (such as CSV or XLSX).
11.2. Termination by the Customer. The Customer may stop using the Service as provided in the Order, or by writing to us. Fees already due remain payable unless the Order states otherwise.
11.3. Termination by us. We may terminate a Customer's account:
- with 14 days' written notice, if the Customer materially breaches these Terms or the Order and does not cure the breach within that period;
- immediately, for serious or repeated breach of section 6, or where the law requires it;
- for convenience, with at least 60 days' notice, refunding any fees prepaid for the period after termination.
11.4. Data after termination. The account is closed and Users can no longer log in. We keep Customer Data for 90 days so that the Customer can ask for an export. After that, we delete or anonymise it in the live system. Encrypted backups are overwritten within a further 60 days. Data we must keep as controller, such as acceptance records and invoices, is kept as set out in our Privacy Policy.
11.5. Deleting a login. A User can ask for their login to be deleted by writing to support@marginflow.biz or by asking the Customer's master account.
12. Confidentiality
Each party will keep confidential the other party's non-public information received in connection with the Service and use it only to perform these Terms and the Order. This does not apply to information that is public, was already known to the recipient, or must be disclosed by law.
13. Liability
13.1. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or wilful misconduct, or any other liability that cannot be limited by law.
13.2. Subject to clause 13.1, neither party is liable for:
- loss of profits, revenue, business or goodwill;
- indirect or consequential losses;
- loss arising from decisions the Customer takes on the basis of figures, recommendations or recognised invoices it has not checked.
13.3. Subject to clause 13.1, each party's total liability arising out of or in connection with these Terms, the Order and the DPA in any 12-month period is limited to the greater of:
- (a) the fees the Customer paid us for the Service in the 12 months before the event giving rise to the claim; and
- (b) EUR 100.
13.4. We are not responsible for failures caused by events beyond our reasonable control, such as outages of hosting, POS or messaging providers, internet failures, natural disasters and acts of authorities.
14. Changes to these Terms
We may update these Terms, the DPA or the Privacy Policy. We give at least 30 days' notice of material changes by email to the master account or in the Service, unless law or security urgently requires a change sooner. After a material change, Users are asked to accept the updated Terms at their next login. If the Customer does not agree, it may end the Service before the change takes effect. The version and effective date are shown at the top of each document.
15. Governing law and courts
These Terms, and any dispute or claim arising out of or in connection with them, are governed by the laws of the Republic of Cyprus. The courts of Limassol, Cyprus have exclusive jurisdiction.
16. General
16.1. Notices. We send notices to the master account's email address or in the Service. Notices to us go to support@marginflow.biz or by post to our registered office.
16.2. Assignment. We may transfer these Terms to an affiliate or a successor of our business, provided the Customer's rights are not reduced. The Customer may transfer them only with our written consent.
16.3. Severability and waiver. If any provision is held invalid, the rest remains in force. A failure to enforce a right is not a waiver.
16.4. Entire agreement. These Terms, the Order, the DPA and the policies they refer to are the entire agreement between the parties about the Service.
